Welcome to TECAI. These Terms & Conditions ("Terms") govern your access to and use of our website, services, and any software, applications, or solutions provided by TECAI ("Services"). By using our Services you agree to these Terms. If you do not agree, please do not use our Services.
TECAI provides web development, mobile app development, AI automation, and custom software solutions. Specific scope, deliverables, timelines, and fees are described in individual proposals, quotes, or service agreements (each a "Project Agreement") between you and TECAI.
All fees and payment terms are specified in the Project Agreement. Unless stated otherwise, a non-refundable deposit may be required to begin work. Final delivery may be contingent on full payment. Late payments may incur interest or suspend delivery until paid.
Minor revisions are included as specified in the Project Agreement. Significant scope changes or additional features requested after the project begins may require a change order and additional fees and time.
Unless otherwise agreed in writing, TECAI retains ownership of all pre-existing materials, tools, libraries, and proprietary code used to deliver Services. Upon full payment, TECAI grants you a non-exclusive license or transfers ownership of deliverables as specified in the Project Agreement. You remain responsible for third-party assets you provide and any required licenses.
You agree to provide timely feedback, content, materials, and approvals necessary for TECAI to perform the Services. Delays in client-supplied materials may affect project timelines and costs.
Both parties agree to keep confidential any non-public business information disclosed in connection with the Services. Confidential information does not include information that is public, already known, or independently developed.
TECAI will handle personal and project data in accordance with our Privacy Policy. You are responsible for ensuring compliance with applicable data protection laws in how you use the Services and any data you collect.
TECAI warrants that Services will be performed with reasonable skill and care. EXCEPT AS EXPRESSLY STATED IN THESE TERMS, TECAI MAKES NO OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TECAI’S LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR SERVICES IS LIMITED TO THE AMOUNTS PAID BY YOU FOR THE SPECIFIC SERVICES GIVING RISE TO THE CLAIM IN THE PRIOR 12 MONTHS. IN NO EVENT WILL TECAI BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
You agree to indemnify and hold TECAI harmless from any third-party claims, liabilities, losses, and expenses arising from your use of the Services, your violation of these Terms, or your breach of any Project Agreement.
Either party may terminate a Project Agreement as set out therein. TECAI may suspend or terminate Services for non-payment or breach. Upon termination, you will pay for work completed up to the termination date and any non-cancellable commitments.
TECAI may use third-party services, plugins, or APIs to deliver Solutions. Those third-party terms and fees are your responsibility unless otherwise specified. TECAI is not responsible for third-party downtime or changes.
Ongoing maintenance, updates or support are provided only when specified in a Project Agreement or support contract and may incur additional fees.
These Terms are governed by the laws of [Your State/Country]. Any disputes will first be attempted to be resolved through good-faith negotiation. If unresolved, disputes will be subject to the exclusive jurisdiction of the courts in [Your City/Region], or arbitration if agreed in writing.
TECAI may update these Terms from time to time. We will post the revised date at the top of this page. Continued use of our Services after changes constitutes acceptance of the new Terms.
If any provision of these Terms is found invalid or unenforceable, the remaining provisions will continue in full force and effect.
These Terms, together with any Project Agreement, constitute the entire agreement between you and TECAI regarding the Services, superseding all prior agreements or understandings.
